Who we are

"We," "us," and "LMS" mean LMS Collectives, LLC, doing business as LMS AI Consulting. We are based in Clayton, North Carolina. "You" means the person or business making the purchase.

We build and teach AI systems and automation for small businesses and solopreneurs. We are not a law firm, an accounting firm, or a financial advisor.

What these terms cover

These terms apply when you buy one of these through a Stripe payment link: the AI Workflow Audit & Roadmap, the AI Coaching Pack (including extra coaching sessions), or the Tool Stack Recommendation.

By checking the box at checkout and paying, you agree to these terms. Checking the box is your electronic signature. If you are buying for a business, you confirm that you are at least 18 and that you can agree to these terms for that business.

AI workflow builds and websites are different. A written Service Agreement covers them, and you sign it before any deposit is taken. These terms do not replace that agreement.

Payment

• Each service has one fixed price, shown on the payment link. Prices are in US dollars.
• The fee is due in full, upfront, before any work begins. Nothing is scheduled or started until your payment clears.
• Payments are processed by Stripe. By paying, you also agree to Stripe's terms.
• Prices can change for future purchases. The price on the payment link when you pay is the price for that purchase.

AI Workflow Audit & Roadmap

What is included

• One 60-minute working session over video. Before it, you send a short list of materials, such as screenshots of your current process, a list of your tools, and about one week of rough time tracking.
• A written Roadmap, delivered within 7 business days of the working session.
• One 30-minute review call to walk through the Roadmap.
• One round of written clarification questions, answered within 14 days of delivery.

What it is

Recommendations. The Roadmap tells you what we would automate first, what we would leave alone, which tools we would use, and what each piece would cost to build with us. It does not include building anything. Cost and time figures in a Roadmap are estimates, not quotes. A build is priced in a written proposal.

Scheduling

Please book the working session within 30 days of payment. If we have not been able to schedule it within 60 days of payment for reasons on your side, the Audit is considered complete and the fee is not refundable.

Audit credit

If you sign a Service Agreement for a build or website with us within 30 days of the date we deliver your Roadmap, we credit the Audit fee in full against that project's final balance invoice. It is never applied to the deposit. The credit has no cash value, cannot be transferred, and expires after 30 days.

AI Coaching Pack

• Three 60-minute one-on-one sessions over video, booked through TidyCal with the link we send after you pay.
• A short written recap after each session.
• Sessions teach you to use AI in your own business, for example building a digital product, writing with AI, setting up a Claude Project, or creating on-brand marketing materials.
• You must use all three sessions within 60 days of payment. Sessions not used within 60 days expire and are not refunded.
• You can reschedule any session with at least 24 hours' notice. A session cancelled with less notice, or missed without notice, counts as used. If we need to reschedule, we will give you as much notice as we can, and the session will not count as used.
• Extra sessions are $200 per 60 minutes, paid before the session. They follow the same rescheduling terms and must be used within 60 days of purchase.

Coaching is teaching. If you would like us to build something for you, we are glad to send a proposal. Building is a separate service under a Service Agreement.

Tool Stack Recommendation

The Tool Stack Recommendation is a written comparison to help you choose software.

• You name one to three specific software decisions, for example scheduling, payments, or invoicing. You also tell us your volume, your budget, and the tools you already use.
• For each decision, we deliver a good, better, best comparison of two to three real options matched to your situation.
• We deliver by email within 5 business days of you confirming your decisions in writing.
• One round of written clarifications, within 7 days of delivery.
• A call, a process review, and workflow design are not included. A 15-minute walkthrough call can be added for an extra fee.
• There is no support window. Tool prices, features, and availability change, and changes after delivery are not covered. Please check current pricing and terms before you buy anything.
• Work begins when you confirm your decisions in writing.

If you want us to set up or connect the tools we recommend, that is a separate proposal.

Revisions

A round is one consolidated set of questions or changes, sent back at once. Requests sent separately within the same working week count as one round.

Fixing our own error never counts against your round. If you need more than the included round, we will quote it in writing before starting.

Refunds

• Audit: refundable in full if you cancel before the working session is held. Not refundable once the working session has taken place, because the work has started.
• Coaching Pack: refundable in full if you cancel before your first session. Not refundable once the first session has taken place. Unused sessions that expire are not refunded.
• Tool Stack Recommendation: refundable in full if you cancel before you confirm your decisions in writing. Not refundable once you have confirmed them, because the work has started.
• If we cannot deliver: if we are unable to deliver a service for reasons on our side, we will reschedule it or refund the part we did not deliver.
• To request a refund you are eligible for, email leeann@lmscollectives.com. We reply within 2 business days, and approved refunds go back to your original payment method through Stripe.

If you have a concern about a charge, please contact us before you dispute it with your bank. We will work with you to fix it. If a charge is disputed, we may give Stripe the records of your order, our emails, and your session bookings.

What you are responsible for

• Showing up to scheduled sessions, or giving 24 hours' notice.
• Giving us accurate and complete information about your business. Our advice depends on it.
• Making sure you have the right to share the materials you give us, and that sharing them does not break anyone else's rights or any law.
• Never sending us passwords, API keys, payment card details, or your customers' personal information by email, text, chat, or screenshot. We will never ask for them that way. If something like that reaches us, we will not use it, and we will ask you to change it. If you would like to show us a tool, share your screen during a session.
• Not sharing health records, children's information, or payment card data with us. These services are not set up to handle them.
• Paying for any software or AI tools you choose to use. We do not resell subscriptions.
• Your own decisions. You decide what to do with our recommendations, and you are responsible for the results.

AI tools and results

• We recommend and teach tools built by other companies, for example OpenAI, Anthropic, Google, Make, and Airtable. We do not control those tools, their pricing, their terms, or how they change over time.
• AI tools can produce inaccurate, incomplete, or inappropriate output. You are responsible for reviewing anything AI produces before you use it, publish it, or send it to anyone.
• We do not guarantee specific results, such as hours saved, revenue, bookings, or rankings. We share honest, experience-based recommendations.
• Nothing we provide is legal, tax, financial, medical, security, insurance, or employment advice. Please talk to a qualified professional for those.
• We may use AI tools to help prepare your Roadmap, recap, or comparison, so information you share with us may be processed by those tools under their terms. We review our own work before we deliver it. See our Privacy Policy.

Ownership

• Your Roadmap and your Tool Stack Recommendation are yours to use in your own business, including with another provider. Please do not resell them.
• Coaching recaps, examples, and prompts we share are yours to use in your own business.
• We keep ownership of our general methods, frameworks, templates, and know-how, and may keep using them with other clients. We will never share your business information with other clients.
• You keep ownership of the materials you give us. You allow us to use them only to deliver your service.

Confidentiality

We keep what you tell us about your business confidential and use it only to deliver the service you bought. We will not name you as a client, publish anything about your business, or share a testimonial without your written permission, unless a signed agreement with you says otherwise.

This does not apply to information that is already public, or that we are required by law to disclose.

Recordings

We do not record sessions unless we both agree at the start of the session. If we do, the recording is shared with you and used only to support your work together.

Warranties and limits on our liability

To the fullest extent the law allows, our services and everything we deliver are provided "as is," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent the law allows, our total liability for any claim relating to an Audit, Coaching Pack, coaching session, or Tool Stack Recommendation is limited to the amount you paid for it. This applies whatever the legal theory, including contract and negligence.

We are not liable for indirect, incidental, special, or consequential losses, such as lost profits, lost data, or business interruption. This includes losses arising from third-party tools, or from AI output you chose to use.

Nothing here limits any liability that cannot be limited under applicable law.

Your agreement to cover us

You agree to defend and hold harmless LMS Collectives, LLC and its owner from third-party claims, damages, and expenses, including reasonable attorneys' fees, that arise from the materials you give us, your use of what we deliver, or your breach of these terms.

Circumstances outside our control

We are not responsible for a delay or failure caused by events beyond our reasonable control. Examples are outages or changes at third-party platforms such as Stripe, Google, TidyCal, or an AI provider, internet failures, severe weather, illness, or an emergency. If a session is affected, we will reschedule it.

If we need to end a service

We may decline, pause, or end a service if you ask us to do something unlawful or unsafe, are abusive toward us, or break these terms. If we end a service for any other reason, we will refund the part we did not deliver. If we end it because you broke these terms, no refund is due.

Governing law and disputes

These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules.

If you have a dispute with us, please email us first and give us 30 days to try to resolve it. If we cannot, you and we agree that the dispute will be brought in the state courts located in Johnston County, North Carolina, or, where federal jurisdiction exists, in the federal court for the district that includes Johnston County. You consent to the jurisdiction of those courts.

General

• These terms, together with any signed Service Agreement and the terms shown at checkout, are the whole agreement between us for these services.
• If any part of these terms cannot be enforced, the rest still applies.
• If we do not enforce a term right away, we have not given it up.
• You may not transfer your purchase to someone else without our written permission.
• We may send notices to the email address you gave us at checkout. You may send notices to leeann@lmscollectives.com.
• The sections on ownership, confidentiality, liability, and governing law continue after the service ends.

Changes and contact

We may update these terms. The version in effect on the date of your purchase applies to that purchase, and we will not apply later changes to work already underway.

The effective date at the top of this page tells you which version you are reading.
