Agreement to these terms
By accessing or using lmscollectives.com (the "Site"), including the pages for LMS AI Consulting, LMS Travel Group, and LMS Media Group, you agree to these Terms of Service. The Site is operated by LMS Collectives, LLC, doing business as LMS AI Consulting, LMS Travel Group, and LMS Media Group, based in North Carolina. In these terms, "we," "us," and "our" mean LMS Collectives, LLC. If you do not agree, please do not use the Site.
How these terms fit with other agreements
These terms apply to everyone who visits the Site and to anyone who buys a service or product through it. A separate written agreement or set of terms governs each specific engagement, for example a signed service agreement for an AI build or website, the LMS Travel Group Terms for corporate travel, a travel booking confirmation, a UGC content agreement, or terms presented at checkout.
If these terms conflict with a signed agreement or with terms you accepted at checkout for a specific purchase, the specific agreement controls for that purchase.
Using the Site
You agree to use the Site only for lawful purposes. You may not interfere with the Site's operation or security, try to gain unauthorized access to any part of it, scrape or copy its content for commercial use without our permission, submit false or misleading information through our forms, or impersonate another person.
Intellectual property
The Site's content, including text, graphics, logos, photos, video, downloads, and the LMS Collectives, LMS AI Consulting, LMS Travel Group, and LMS Media Group names and marks, is owned by LMS Collectives, LLC or its licensors. You may view it and share links to it, but you may not copy, modify, distribute, or use it commercially without our written permission. Free resources, such as the Automated CEO Checklist, are provided for your own business use and may not be resold or redistributed.
What you send us
When you submit a message or form, you give us permission to use that information to respond to you and to provide our services, as described in our Privacy Policy. Please do not send us anything you are not allowed to share, and do not send passwords, full payment card numbers, or other highly sensitive information through the Site.
No professional advice, and no guaranteed results
Content on the Site, including checklists, free resources, and descriptions of our services, is general information for small business owners. It is not legal, financial, tax, or travel insurance advice, and you should consult a qualified professional for those needs. Automation and AI systems are built around each client's specific tools and inputs, results vary, and nothing on the Site guarantees a particular business outcome, revenue figure, or time saving.
Travel services (LMS Travel Group)
LMS Travel Group operates as an independent travel agency under the WorldVia host agency. We act as an intermediary between you and third-party suppliers such as hotels, airlines, tour operators, and ground transportation companies. We do not own or control those suppliers and are not responsible for their acts, omissions, delays, cancellations, or errors. Every booking is subject to the supplier's own terms and cancellation policies, which we will give you at the time of booking. Prices and availability are not guaranteed until a booking is confirmed and paid for.
Media and content (LMS Media Group)
Licensing terms for UGC content, raw footage, and event coverage are set out in the applicable client agreement or rate card at the time of purchase, not in these general terms. Unless a client has purchased exclusivity, LMS Media Group may use delivered footage in its own portfolio and marketing.
Payments
How you pay depends on what you buy.
LMS AI Consulting and LMS Media Group
Payments for services, deposits, balances, and invoices are processed by Stripe. By paying, you also agree to Stripe's terms. Deposits, balances, cancellations, and refunds for a specific service are set out in the applicable service agreement, invoice, checkout terms, or rate card.
LMS Travel Group
The LMS Travel Group consultation fee is paid through Stripe under the LMS Travel Group Terms. Your program costs are different. They are paid to the supplier, on the supplier's schedule, using the supplier's own payment method. Where we make those payments on your behalf, the LMS Travel Group Terms apply, and they say:
Where we make payments on your behalf, we do so using a payment card you authorize in writing through a secure authorization form. Charges appear on your statement from the supplier, not from LMS Travel Group. We do not hold or bank your funds.
We will never ask for card details by email, text message or screenshot, and we will not accept them that way. If card details reach us by any of those routes, we destroy them and ask you to resubmit securely.
If anything in these general terms conflicts with the LMS Travel Group Terms on travel payments, the LMS Travel Group Terms control.
Third-party links and tools
The Site links to third-party websites and uses third-party tools such as Tally, TidyCal, and Stripe. We do not control them and are not responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their terms.
Disclaimer of warranties
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not promise that the Site will be uninterrupted, error free, or free of harmful components.
Limitation of liability
To the fullest extent permitted by law, LMS Collectives, LLC and its owner, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to the greater of $100 or the amount you paid us for the specific product or service that gave rise to the claim. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.
Indemnification
You agree to indemnify and hold harmless LMS Collectives, LLC and its owner from claims, damages, and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your violation of these terms or of anyone else's rights.
Governing law
These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. You and we agree that any dispute arising from these terms or the Site will be brought in the state courts located in Johnston County, North Carolina, or, where federal jurisdiction exists, in the federal court for the district that includes Johnston County, and you consent to the jurisdiction of those courts.
Changes and contact
We may update these terms from time to time. We will change the "Last updated" date when we do, and your continued use of the Site after a change means you accept the updated terms. If any part of these terms is found unenforceable, the rest stays in effect.
